Material Fact
Recife, July 19, 2020. Ser Educacional S.A. (“Company”), pursuant to Law No. 6,404/1976 and CVM Ruling No. 358/02, as amended, as well as in accordance with its commitment to transparency before investors and the market in general, hereby provides the following clarifications in relation to the news article published on this date in Lauro Jardim’s article in the newspaper “O Globo”, entitled “Ser’s Group advances to close the purchase of Laureate”:
(i) the Company is always attentive and constantly assessing strategic transaction opportunities aiming at creating value to its shareholders and stakeholders in general;
(ii) in this sense, the Company is currently assessing a potential transaction involving Laureate Group’s assets in Brazil; and
(iii) on this date, there is no agreement in this regard.
The Company will keep its shareholders and the market in general informed regarding relevant developments.
