Ser Educacional, one of the largest private education groups in Brazil and the leader in the North and Northeast regions, pursuant to Law 6404/1976, of CVM Instruction 358/2002, and in addition to the material fact disclosed on August 6, 2020, hereby informs its shareholders and the market in general that on this date, after compliance with the precedent conditions, including the Brazilian antitrust authority (CADE) approval, the financial liquidation of the Agreement of Purchase and Sale of Shares (“Agreement”) and the effective transfer of the capital stock of Sociedade Regional de Educação e Cultura Ltda. (“SOREC”), sponsoring institution of Faculty of Biomedical Sciences of Cacoal – FACIMED (“FACIMED”) to CENESUP – Centro Nacional de Ensino Superior Ltda. (“CENESUP”), subsidiary of Ser Educacional S.A.
