Notice to the Market – Acquisition Closing of

Recife, November 1, 2019, Ser Educacional S.A. (“Company”) (B3 SEER3, Bloomberg SEER3:BZ and Reuters SEER3.SA), one of the largest private education groups in Brazil and the leader in the Northeast and North regions, hereby informs its shareholders and the market in general that it was concluded, on this date, after compliance with conditions precedent, through the Agreement for the Transfer of Quotas and Other Covenants (“Agreement”), the effective transfer of 100% of the shares representing the capital stock of SODECAM – Sociedade de Desenvolvimento Cultural do Amazonas Ltda., Maintainer of the Centro Universitário do Norte (UNINORTE) (“Society”), headquartered in Manaus-AM, to Centro Nacional de Ensino Superior Ltda. (“CENESUP”), a subsidiary of Ser Educacional S.A.
