Material Fact
Recife, August 06, 2020. Ser Educacional S.A. (B3 SEER3), one of the largest private education groups in Brazil and the leader in the Northeast and North regions, pursuant to CVM Instruction 358, of January 3, 2002, as amended, and paragraph 4 of article 157 of Law 6,404, of December 15, 1976, as amended (“Brazilian Corporations Law”), hereby informs its shareholders and the market in general that it has signed a Purchase and Sale Agreement (“Agreement”), through which its subsidiary CENESUP – Centro Nacional de Ensino Superior Ltda. (“CENESUP”) agreed to acquire one hundred percent (100%) of the share capital of Sociedade Regional de Educação e Cultura Ltda. (“SOREC” and “Transaction”), maintainer of Faculdade de Ciências Biomédicas de Cacoal – FACIMED (“FACIMED”).
The educational institution is located in the city of Cacoal, State of Rondônia, and in 2019 recorded net revenues of fifty-five million reais (R$55,000,000.00). In June 2020, the institution had two thousand and seven hundred (2,700) undergraduate students, among which, four hundred and forty-five (445) were medical students. The institution is recognized in the region for its courses in the health field and offers ninety (90) annual student vacancies in its medicine course, or seventy-five (75) annual vacancies excluding the ones reserved for PROUNI and FIES students, in addition to other courses in the medical field such as Veterinary, Nursing, Psychology, Dentistry and Pharmacy. The institution‘s Law program is also widely recognized in the region and includes students attending afternoon classes.
